Abstract: วิทยานิพนธ์ฉบับนี้มีจุดมุ่งหมายเพื่อศึกษาและวิเคราะห์กฎหมายที่กำกับดูแลธนาคารพาณิชย์ในประเทศไทย เนื่องจากตั้งแต่เริ่มแรกที่มีการก่อตั้งธนาคารพาณิชย์ในประเทศไทยจนถึงปัจจุบัน การดำเนินงานของธนาคารพาณิชย์ประสบปัญหามาตลอดซึ่งสาเหตุส่วนหนึ่งมาจากการปล่อยสินเชื่อให้แก่กรรมการของธนาคารที่ไปลงทุนในธุรกิจอื่น ๆ ในนามของพรรคพวก ญาติใกล้ชิด แม้ว่าจะมีการปรับปรุง แก้ไข กฎหมายที่กำกับดูแลธนาคารพาณิชย์ตามวิวัฒนาการของสถาบันการเงินเป็นระยะ ๆ แต่ก็ยังมีการกระทำที่หลีกเลี่ยงกฎหมาย จนเกิดความเสียหายเเก่สถาบันการเงินขึ้นอีก การศึกษาได้ศึกษาความเป็นมาของกฎหมายนับแต่การก่อตั้งธนาคารพาณิชย์ในประเทศไทย จนถึงร่างพระราชบัญญัติธุรกิจสถาบันการเงิน พ.ศ.. (ฉบับปัจจุบัน) รวมทั้งการเกิดปัญหาในธนาคารพาณิซย์ของไทยที่กระทำผิดโดยกรรมการของธนาคาร ผลการศึกษาพบว่า บทบัญญัติกฎหมายในส่วนของการให้สินเชื่อเเก่กรรมการและผู้เกี่ยวข้อง ได้มีการเเก้ไขในร่างพระราชบัญญัติฯ ฉบับใหม่เเล้ว เเต่อย่างไรก็ตามยังคงมีข้อบกพร่องบางประการที่ควรนำมาเเก้ไข ปรับปรุง เพื่อให้เกิดความชัดเจนในการนำมาใช้ และเพื่อสร้างมูลเหตุจูงใจให้กรรมการในการทำงานเพื่อผลประโยชน์ของส่วนรวม เพื่อให้บรรลุวัตถุประสงค์แห่งหลักการและเหตุผลในการแก้ไข ปรับปรุงกฎหมายที่กำกับดูแลธนาคารพาณิชย์ให้มากที่สุด

Abstract: The purpose of this thesis is to study and analyst the enforcement issues of various laws concerning regulation of Commercial Bank in Thailand. Due to the fact that from the first beginning of the establishment of Commercial Bank in Thailand till the present, the undertaking of Commercial Bank are always in serious problems. One of the causes of these problems had arisen from which those Banks had illegally rendered loan credits to their own executive directors, closely related relatives and persons or fellows acting on behalf of their director. Even though there have occasionally been a lot of amendment and improvement of legislation to be comparable with the financial institution evolution the avoiding of compliance with those laws still continually exists and repeatedly causes extreme damages to the country's financial institution system.In this regard the view on this thesis will be focused on our country's originating of legislation background beginning from the initiative establishment of Commercial Bank to the current draft of financial institution Act BE.... including theproblems in connection with Commercial Bank offences intentionally committed by its directors.As a result of the study it appears that the newly amended draft of statute in particular of rendering loan credits to its directors and other person concerned still has some significant defect further desirable for being improved and amended in order to be more clear for enforcement and to motivate the director to take responsibility for the sake of public interest that this purpose will prove it to our attainment to principle and rationale to amend and improve the legislative regulatory Commercial Bank system in at most.
